What is S Corporation?

S Corporation status is a federal tax election for an eligible domestic corporation or LLC. It generally passes income, losses, deductions, and credits through to shareholders.

Your starting checklist

What you’ll need

  • A qualifying domestic entity with no more than 100 shareholders
  • Eligible shareholders; no nonresident alien shareholders
  • One class of stock and no ineligible corporate activity
  • Form 2553, shareholder consent, and compliance with election deadlines

Can nonresident aliens be S Corporation shareholders?

No. IRS eligibility rules exclude nonresident alien shareholders. S status also has other restrictions, including a maximum of 100 shareholders and one class of stock.
